These Terms and Conditions ("Terms") govern your use of services provided by Automation AI ("we", "our", "us"), a company registered and operating in the United Kingdom. By engaging our services, you ("Client", "you", "your") agree to comply with and be bound by these Terms.
Automation AI provides AI automation, chatbot development, workflow automation, CRM integration, and related business systems ('Services').
All Services are provided subject to these Terms and Conditions. By engaging our Services, you agree to be bound by these terms.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.
Setup fees are due upfront before work commences. Payment can be made via bank transfer, credit card, or other agreed methods.
Monthly support packages are billed in advance on a recurring basis. Payments are non-refundable except as outlined in our Cancellation Policy.
Late payments may result in suspension of services until accounts are brought current.
All prices are quoted in GBP and exclude VAT unless otherwise stated.
Setup Phase: If you cancel during the initial setup phase (before delivery), you may receive a partial refund minus any work completed and third-party costs incurred.
Monthly Support: You may cancel your monthly support package at any time with 30 days' written notice. Cancellation takes effect at the end of the current billing period.
No Refunds: Monthly support fees already paid are non-refundable. You will retain access to support services until the end of your paid period.
Immediate Termination: We reserve the right to terminate services immediately for breach of these terms, non-payment, or abusive behaviour.
Data Retention: Upon cancellation, we will provide you with access to retrieve your data for 30 days, after which it may be permanently deleted.
Upon full payment, you own the custom automation systems and chatbots we build specifically for your business.
We retain ownership of our proprietary tools, frameworks, and methodologies used to deliver Services.
You grant us permission to use your project as a case study or portfolio piece unless otherwise agreed in writing.
You warrant that any content, data, or materials you provide do not infringe third-party intellectual property rights.
We will deliver Services with reasonable care and skill in accordance with industry standards.
AI and automation systems may require ongoing adjustments. We do not guarantee specific business outcomes or performance metrics unless explicitly agreed in writing.
Services are provided 'as is' without warranties of any kind, either express or implied, except as required by UK law.
Our total liability for any claims arising from Services shall not exceed the fees paid by you in the 12 months preceding the claim.
We will keep your business information, data, and proprietary materials confidential.
Confidential information does not include information that is publicly available or independently developed.
We may disclose confidential information if required by law or court order, with reasonable notice to you where possible.
We comply with UK GDPR and Data Protection Act 2018 in our handling of personal data.
Our Privacy Policy (available on our website) explains how we collect, use, and protect your data.
You are responsible for ensuring you have appropriate consent and legal basis for any personal data you provide to us.
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, we shall not be liable for any indirect, consequential, or special damages, loss of profits, revenue, data, or business opportunities.
You agree to indemnify us against any claims arising from your use of the Services or breach of these terms.
Our Services may integrate with third-party platforms (e.g., CRMs, email providers, social media). We are not responsible for the availability, functionality, or terms of these third-party services.
You are responsible for maintaining your own accounts, licenses, and subscriptions with third-party services.
These Terms and Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We will attempt to resolve any disputes amicably before resorting to legal proceedings.
We may update these Terms and Conditions from time to time. Changes will be posted on our website with an updated effective date.
Continued use of our Services after changes constitutes acceptance of the updated terms.
Material changes will be communicated to active clients via email where possible.
